1. General
The following conditions apply to all transactions with our company. Deviating agreements require our written confirmation; they have no retroactive effect on previous deliveries nor do they apply to subsequent transactions. Purchasing conditions of our clients are only recognized by us if they do not contradict our conditions.
2. Prices
Our prices are ex works. The calculation is based on the prices valid at the time of delivery. With a value decrease of at least € 1000.00 per order we deliver freight-free to destination, as long as this is within the Federal Republic of Germany. For small orders under a goods net value of € 50 a processing fee of € 5 will be charged, plus shipping. Verbal agreements are only valid if they have been confirmed by us in writing.
3. Delivery date
Agreed delivery times are adhered to as far as possible and are approximate. Delays in deliveries do not entitle cancellation of orders or the assertion of other claims. Events of force majeure release us from the obligation to deliver.
4. Terms of payment
Our invoices are payable within 14 days with 2% discount or within 30 days net, regardless of the receipt of goods and the right of complaint. In advance, we grant 3% discount. In any case of delayed payment, we have the right either to withhold further deliveries until full coverage of our due claims or to carry out further deliveries only against advance payment, as well as to withdraw from the contract after a reasonable grace period or to claim damages for non-performance. In addition, any delayed payment or circumstances that may reduce the creditworthiness of the purchaser are in principle subject to the payment of all our claims. We are entitled to charge default interest in the amount of the respective bank interest rate and to demand immediate payment, without the need for a form prescribed by law in arrears. Payments are only to be made directly to us. Our representatives, are only authorized to collect money from the factory upon presentation of special authorization.
5. Retention of title
All goods delivered by us remain our property until full payment. Furthermore, the buyer accepts our extended retention of title, extended retention of title and co-ownership in further processing. In the event of default of payment by the purchaser, we or a person commissioned by us shall be entitled to dispose of the goods from our deliveries up to the amount of our claim amount, including the costs incurred and default interest, irrespective of whether the goods have been paid or not.
6. Complaints
Complaints of any kind can only be considered if they are presented within 8 days of receipt of the goods. Defects that are demonstrably due to material or manufacturing defects will be corrected free of charge. For other claims such as: compensation, wages, penalties or claims for compensation for damage that did not occur to the delivery itself, we are not accountable.
7. Liability for defects of delivery
We are liable for delivery defects to the exclusion of further claims as follows: “All faulty parts shall be repaired or re-delivered free of charge at our reasonable discretion, within 24 months of installation, for defects resulting from faulty design, poor materials or poor execution that are unusable usefulness has been significantly impaired. The detection of such defects must be reported to us immediately in writing. Replaced parts become our property. If the shipment or installation is delayed without our fault, the liability lapses for 30 months. ”
8. Returns
Returns, except defective goods as in point 7, as well as cancellations of orders require our express written permission. In case of returns of faultless goods, 25% of the net value of the goods will be charged for handling costs at the time the invoice is issued.
